This letter is to confirm my understanding that,
as a result of your memorandum of 29 June on conver-
sion kits and the Director's letter of 13 June on the
same subject, it has been agreed between us that prior
to the con itmoAt of any FY 1965 funds for this project,
the Director of Central Intelllgeence will be fully briefed
and his approval obtained for such expenditure.
If the foregoing is not in conformity with our agree-
meat, please let me know. I u derstand you are scheedut>
.tug the briefing for next week, and I have alerted appro-
priate membners of the staff to be available with the
Director and me for this brieeilag.

2. In your similarly addressed memorandum of May 25th you
suggested that such a proposal was feasible and that you were completing
an analysis of the costs and of the offsetting advantages before determin-
ing whether to proceed. On 13 June the Director of Central Intelligence
wrote you personally, noting your memorandum of May 25th and express-
ing his interest in the results of your analysis. He expressed his concern
as to the additional costs, and the availability of the ATLAS-AGENA
combinations. He asked that you inform him when the study is finished
"so that we can reach a conclusion. "
3. Accordingly, prior to the commitment of any FY 1965 funds for
this project, it is desired that the study and analysis you have made be
presented to the Director of Central Intelligence so that the proposal
may be evaluated by him.
