This office has been advised by Vice President and
25X1A General Manager of that the United States Government
has requested that you be permitted to enter the -plant for the pur-
pose of monitoring the performance by under a contractual arrangement
with the Government.
It is my understanding that you are not an employee of the Government and
that you are presently engaged as a consultant for other organizations which

25X1A While desires to offer its cooperation to facilitate
your performance of those duties which may be assigned to you, you must
understand that such cooperation poses a risk to For this reason,
we ask you to sign and return a copy of this letter signifying your accept-
ance of the terms and conditions which follow:
You agree to accept any information which you may obtain at
the _ plant, or as a result of your association with
or pertaining to the work performed by _ for the saic
Government agency, in confidence and recognize that _ has
proprietary right in such information.
You agree that you will neither duplicate nor reproduce
documents containing such information, and that you will
not disclose such information to third parties.
After the completion of your assigned duties, you will deliver
all documents and records pertaining to said duties to the
Government or return the documents and records to
You further agree that should any information as to
activities become known to third parties during the per o

after, it may be presumed that you had access to such in-

You should understand that permitting one who is, in effect, a competitor
to enter one's plant is a highly unusual procedure. Thus, although measures
may be taken by to restrict your access to matters within the scope of
the work directly assigned to you, in practice it is virtually impossible to
so limit your access, especially in view of the fact that you enjoy the
friendship and high regard of so many employees.
Should you elect to execute the present agreement, we hope that your acco-
