MEMORANDUM FOR: General Counsel
FROM: Director of Central Intelligence
SUBJECT: Legal Implications of Terminating Project SAFE
Contract for Burroughs Equipment
1. I'd like a session on the legal status of SAFE. I've read the
opinion. I'd like to know what evidence we have of all the bases we have
for termination, what exposure, how it would be effected by keeping TRW in
a reduced role vs. switching all together, What counterclaims might be
asserted by virtue of over-run and delays, our choices of negotiating our
way out without risk of litigation.
2. Schedule it when you are ready. Bring anyone who can supply facts
and dealt with TRW or Burroughs whocan give us factual perspective. I'd
like to decide this week before leaving.
