Dear Sir:
In accordance with the terms of Article IX "Renegotiated
Rates" of the subject contract, the hourly rates set forth
in this contract *hall be effective during the period 1
July 1964 through 31 December 1964. Thereafter the
Contractor's Overhead records shall be reviewed and now
rates, based upon Overhead factors actually experienced
by the contractor in the preceding period, shall be

negotiated for the period I January 1965 through 30
1965.
Enclosed is an Income Statement of the
preparreed by an independent auditor,
who is a Certified Public Accountant in Pasademla,
California. The Overhead Costs in the enclosed statement
include "Travel and Entertainment" and "Miscellaneous
Selling Expenses" which costs arot in toy opinion, not
applicable to U. S. Government contracts.
