In support of our presentation of February 28, 1966, we are
pleased to submit our formal proposal to resolve the differ-
ences which arose during that meeting regarding the proposed
change in scope.
It is 0 contention that the additional effort associated
with the frame edge detector is a change in contract scope.
The position of the Government is that no change in scope is
involved. Our discussions produced no resolution to these
differences.
While we continue to feel that our contention is valid, we
propose that the impasse be solved by:

4. The negotiation on Printer No. 2 change in scope,
stop work order and overrun remain open..
This proposal contains a slight modification of our verbal
proposal. If the fee for Printer No. I is simply fixed at
this avoids the necessity of modifying the con-
tract to cost plus fixed fee for Printer No. 1 and cost plus
incentive fee for Printer No. 2. A two-part contract would
require substantial modification of the terms and conditions.
Additional details are provided in the attachments. Attach-
ment 1 contains previously submitted information as of No-
vember 30, 1965. The remaining attachments provide status
as of January 31,"1966, including delivery schedule, estimated
cost to complete, total estimated cost at completion, and
additional funding required.

We wish also to confirm our agreement that i submit to 25X1
you an Addendum to the Acceptance Test Procedure (not later
than April 10, 1966) for your approval prior to acceptance
testing. This Addendum will spell out in detail, where
possible, quantitative limits and specific films to be used
for the purpose of acceptance by the Government. In con-
junction with this submittal, Owill attempt to obtain.and 25X1
submit to you for consideration and approval, those films
which it feels are appropriate for acceptance testing. In
turn, the Government has and will continue to seek appropriate
films for these tests. Use of these films (because of their
unclassified nature). will enable I Irepresentatives to 1ld ~/ 25X1
witness FinalAcceptance Testing by the Government.
This proposal will remain firm for thirty (30) days and
be subject to change or confirmation thereafter. All
other terms and conditions are to remain unchanged.
